You need senior commercial counsel on tap without a full-time GC hire. I help midsize and small companies — operators, sponsors, family offices, and growing commercial businesses included. Principal-led. Retainer-plus.
War-tested commercial judgment on leasing, NOI, workouts, lender talks, contracts, closings, and rescue-capital calls. Not a junior mill. Not startup-GC soup.
New York lead counsel with nationwide reach through admitted local counsel. I'm NY-admitted; other states run with admitted local counsel when the file needs it. This page is not a New York-only lander.
This seat is company counsel. Not an employment desk, not a litigation practice, not collections. Heavy contract queues can also use contracts & closings.

Who it's for
- Midsize and small companies that need a senior lawyer without building an in-house legal department
- Operators and sponsors who need counsel on tap without a $300k+ GC hire
- Companies past "call a lawyer when something breaks"
- Teams that want one senior point of contact across commercial work
Monthly GC tiers
Public ranges. Final numbers live in the engagement letter. Most CRE operators start on Operator.
Pulse · $2,500–3,500 / month
About 5–8 hours. Async questions plus one call a month. Good when volume is light but you want a senior number on speed dial.
Operator · $5,000–7,500 / month
About 10–15 hours. Weekly call and priority turnaround. Default fit for active operators and sponsors.
Embedded · $10,000–15,000 / month
About 20+ hours. Near day-to-day GC. For companies that need me in the rhythm of the business.
Overages: $450–650 / hour (or bank unused hours 30 days — we lock one rule in the letter).
Minimum: 3 months, then 30-day out.
Heavy deals (big negotiations, closings) = separate matter or burn retainer at the stated rate.
Annual prepay: one month free or about 10% off.
In scope
- Ongoing commercial counsel (questions, risk calls, owner/board notes)
- Contract draft and review queue (NDAs, vendor paper, LOIs, amendments, commercial agreements)
- Lease and landlord-tenant oversight (scoped; heavy lease paper may run as a separate matter — see leasing)
- Lender / workout triage and strategy
- Closing and transaction support as needed
- Simple playbooks: templates, approval matrix, "when to call Josh"
Out of scope (or separate matter)
- Litigation as counsel of record
- Employment, immigration, or tax specialty deep dives
- Full CRE acquisitions underwriting (different lane)
- Multi-state bar work without admitted local counsel
- Unlimited rush without burning hours or opening a separate matter
How it runs
- 1. Twenty-minute fit call — volume, matter types, how you like to work.
- 2. Pick Pulse, Operator, or Embedded (or a custom hybrid).
- 3. Short priority list for the first 30 days.
- 4. Ongoing advice with clear off-ramps into leasing, workouts, lender talks, transactions, or contracts when a matter grows.
You work with me. Principal-led. No associate learning curve on your dime.
